These Terms & Conditions ("Terms") govern your access to and use of the DropZillas website, dashboard, APIs, storefronts, and fulfillment services (together, the "Services"). By creating an account, submitting an application, placing an order, sending inventory, or otherwise using the Services, you agree to these Terms and to the DropZillas policies they incorporate by reference.

Service-specific policies and agreements govern their specific subject matter and control over any general statement in these Terms:

1. Who we are

DropZillas is a U.S.-based wholesale, dropship, repackaging, and fulfillment operation headquartered in Texas. Legal entity name, registered address, and legal contact details are the values published in the DropZillas admin legal identity settings and, once configured, appear at the bottom of this page and on the contact page.

2. Accounts

You must be at least 18 years old and legally able to enter into a binding contract to create an account. You represent that all information you provide is true, current, and complete, and that you are authorized to act for any business or entity you register. You are responsible for maintaining the security of your credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

3. Nature of the service

DropZillas provides business-to-business (B2B) fulfillment infrastructure for approved resellers, sellers, and their end customers. The Services are not intended for personal, family, or household use. Availability of specific features (catalog access, repackaging, blind fulfillment, concierge retail pickup, custom / print-on-demand production, storefront hosting, shipping providers, printer routing, and integrations) depends on your account status, subscription, and platform configuration.

4. Orders and fulfillment

Placing an order through the DropZillas dashboard, an integrated storefront, or an integrated channel is an offer to purchase and/or to have DropZillas perform fulfillment services. DropZillas may accept, reject, cancel, or hold any order — in whole or in part — based on availability, pricing errors, suspected fraud, non-payment, policy violations, or operational constraints. 5. Pricing, fees, taxes, and payment

Prices, wholesale rates, subscription fees, and per-service fees (fulfillment, repackaging, kitting, storage, print-on-demand, concierge pickup, shipping, materials, rush handling, and similar) are the amounts published in the DropZillas dashboard, in your quote or invoice, or set through admin-configured pricing rules at the time of the transaction. DropZillas may update prices and fee schedules on a prospective basis; existing accepted quotes and confirmed orders are honored on their original terms unless the order is materially changed.

You authorize DropZillas (and its payment processors) to charge the payment method on file for amounts you owe, including shipping charges passed through from carriers. Sales tax, VAT, duties, customs, and other governmental charges are your responsibility unless DropZillas is required to collect them. Failed payment, chargebacks, or payment disputes may result in suspension of Services, holds on inventory, and recovery of amounts owed as permitted by law.

6. Third-party services, integrations, and carriers

The Services connect to third-party providers including payment processors, shipping carriers, shipping-provider APIs, e-commerce platforms, marketplaces, printing bridges, and analytics providers. DropZillas is not responsible for the acts, omissions, uptime, performance, or policies of third parties, and use of a third-party service is subject to that provider's own terms. When DropZillas transmits a correctly addressed and properly tendered shipment to a carrier, subsequent transportation is governed by that carrier's terms of service and applicable transportation law. 7. Acceptable use

You may not use the Services to:

ship or handle any item covered by the Prohibited & Restricted Goods Policy;
misrepresent products, sources, authenticity, or origin, including by using blind fulfillment, repackaging, or concierge retail pickup to conceal counterfeit, replica, unauthorized, gray-market, or stolen goods;
infringe intellectual-property, publicity, or privacy rights of any person or entity;
interfere with, probe, scan, or attempt to gain unauthorized access to the Services, other accounts, or DropZillas infrastructure;
upload malware, run automated abuse, evade rate limits, or scrape data outside a documented API;
violate applicable federal, state, or local law, marketplace or channel rules, brand-owner requirements, or carrier restrictions.

8. Intellectual property

DropZillas retains ownership of the Services, including all software, designs, product photography and copy that DropZillas creates, documentation, templates, marks, and know-how. You retain ownership of content you submit (artwork, logos, labels, packaging designs, product descriptions, inserts, and similar). You grant DropZillas a non-exclusive, worldwide, royalty-free license to store, reproduce, display, print, decorate, apply, package, and ship using your content to the extent necessary to perform the Services you request. You represent you have all rights and authorizations required to submit and use the content you provide.

9. Confidentiality

Wholesale pricing, seller-facing rate cards, private catalog information, internal fulfillment procedures, non-public dashboard data, and other information marked or reasonably identifiable as confidential is confidential. Do not publish, republish, sell, or share such information outside your business. This obligation survives termination of your account.

10. Suspension and termination

DropZillas may suspend, restrict, or terminate any account and refuse further service for suspected fraud, chargeback abuse, non-payment, prohibited-goods violations, counterfeit or authenticity concerns, misuse of Services, security or safety risk, repeated policy violations, compliance with law or lawful process, or business necessity. You may close your account at any time. Accrued obligations, fees for services already rendered, indemnities, confidentiality, disclaimers, limits on liability, and dispute-resolution provisions survive termination.

11. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, or that specific carriers, integrations, or channels will remain available. DropZillas does not warrant that any specific delivery date will be met, that carrier services will not be delayed or interrupted, or that third-party platforms will always accept our data feeds.

12. Limitation of liability

To the maximum extent permitted by law, DropZillas' aggregate liability to you for any and all claims arising out of or relating to the Services or these Terms will not exceed the greater of (a) the total fees you paid to DropZillas for the specific Service that gave rise to the claim in the three months immediately preceding the event, or (b) one hundred U.S. dollars ($100). DropZillas will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, lost business opportunity, or reputational harm, even if advised of the possibility. Some jurisdictions do not permit certain limitations, in which case the limitations apply to the maximum extent permitted.

13. Indemnification

You agree to defend, indemnify, and hold harmless DropZillas, its affiliates, officers, employees, and agents from and against any third-party claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) content, products, listings, artwork, branding, or inventory you submit or direct DropZillas to handle; (b) your resale of goods or services or your representations to your customers; (c) violation of these Terms, the incorporated policies, or applicable law; or (d) your infringement of third-party intellectual-property, publicity, or privacy rights.

14. Force majeure

DropZillas is not responsible for failure or delay in performing the Services caused by conditions beyond our reasonable control, including natural disasters, severe weather, fires, floods, pandemics, labor actions, carrier disruptions, utility failures, internet or hosting outages, sanctions, war, terrorism, or governmental action.

15. Governing law and dispute resolution

These Terms are governed by the laws of the State of Texas and the United States, without regard to conflict-of-laws principles. The exclusive venue for any dispute not subject to a separate arbitration agreement is the state and federal courts located in Texas, and the parties consent to personal jurisdiction there. You waive any objection based on forum non conveniens.

16. Electronic communications and notices

By using the Services you consent to receive communications from us electronically, including at the email address on file. Legal notices to DropZillas must be sent to the legal contact email published in the admin legal identity settings and, at your option, also to our registered address once configured.

17. Changes to these Terms

We may update these Terms and the incorporated policies from time to time. Non-material changes take effect when posted. For material changes, we will update the effective date at the top of the affected policy and, where the Services require it (for example, reseller onboarding or workflow-level acknowledgments), may prompt you to re-accept the revised version before continued use.

18. Miscellaneous

If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our written consent; DropZillas may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms and the incorporated policies are the entire agreement between you and DropZillas about the Services and supersede prior discussions.
